1. Acceptance of Terms

Welcome to SyncSocial (accessible via getsyncsocial.com). These Terms of Service ("Terms") constitute a legally binding contract between your business ("Merchant", "User", or "you") and SyncSocial ("we", "us", or "our"). By registering for, accessing, or using our software platform, you agree to comply with and be bound by these Terms.

2. Platform Description & Service Scope

SyncSocial provides a B2B SaaS platform that unifies inbound customer support messaging across Meta platforms (WhatsApp Cloud API, Facebook Messenger, Instagram Graph API) and TikTok Business API. We process incoming customer inquiries and issue AI-grounded support replies according to your catalog configuration, knowledge base, credit quota, and tone preferences.

Inbound-Only Policy: SyncSocial is strictly an inbound customer support resolution platform. The service operates exclusively within active customer-initiated sessions (including WhatsApp's 24-hour window, Meta's 7-day DM window, and TikTok's 48-hour reply window). SyncSocial does not support, facilitate, or provide tools for outbound mass marketing broadcasts, unsolicited messages, or cold outreach.

3. Credit Economy & Subscriptions

SyncSocial operates on a credit-based subscription model:

  • AI Credits: Each successful automated reply generated by the platform consumes 1 credit from your tenant allowance.
  • Monthly Billing Cycles: Included monthly credits reset automatically at the end of each 30-day billing cycle and do not roll over.
  • Top-Up Credit Boosts: Purchased credit boosts do not expire and carry over across billing cycles until fully consumed.
  • Cancellation & No-Refund Terms: Subscriptions are billed on a recurring 30-day basis. Cancellations strictly apply to the next billing cycle; active 30-day subscriptions and consumable AI reply credits are non-refundable once provisioned pursuant to our Cancellation & Refund Policy.

4. Third-Party API Compliance & Risk

Merchants must comply with Meta Commerce & Messaging Policies and TikTok Terms of Service. SyncSocial is not liable for account suspensions, messaging window restrictions, or platform API changes enforced by third-party networks.

5. Limitation of Liability & Service Disclaimers

To the maximum extent permitted by applicable law, SyncSocial shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenues, business, data, or goodwill.

SyncSocial does not guarantee 100% customer satisfaction, system uptime, or error-free operations. If issues occur in the system and you or your customers bear losses, SyncSocial is not liable under any circumstances.

The webhooks or messages received by the system are not guaranteed to be up-to-date or complete. The platform may occasionally miss webhooks due to API latency, third-party network drops, or unverified technical reasons. It is the responsibility of the customer to verify critical communications independently; you cannot hold SyncSocial liable for missed messages, delayed responses, or webhook failures.

By using SyncSocial, you acknowledge and agree that you are using this system fully aware of these limitations and risks. SyncSocial will, however, always make reasonable efforts to maintain the best service possible.
